How long to sell a cleaning business

A typical cleaning business sale takes 6 to 9 months from first valuation to the money being in your account, and window cleaning rounds and small domestic cleaning businesses often sell in 2 to 4 months.

Commercial contract cleaners take longest because client consents, TUPE and the buyer's checks on contracts and staff all have to be finished before the sale can go through.

Typical timescales by type of cleaning business

Type of businessTypical time to sellWhy it takes that long
Window cleaning round2 to 4 monthsSold mainly on the customer list, often to an existing window cleaner nearby, with light legal work
Small domestic cleaning business2 to 4 monthsFew formal contracts, simple accounts and a small team, so the buyer's checks are short
Commercial contract cleaning business6 to 9 monthsWritten contracts to review, client consents, staff transferring under TUPE and fuller checks on the accounts

Larger commercial businesses with a management team in place sit at the long end of that range, mostly because the buyers are bigger cleaning companies and facilities management groups whose own approval and legal processes take time.

Each stage of a cleaning business sale

Rounds and small domestic businesses go through the same stages, only faster.

StageWhat happensTypical time
Valuation and sales packWe value the business, gather the accounts, contract schedule and staff list, and write the sales pack2 to 4 weeks
Listing and buyer approachesThe business goes on our site and the main UK business-for-sale websites, we approach the buyers we already know are looking and follow up every enquiry, and serious buyers agree to our confidentiality terms and meet you2 to 4 months
Offer and heads of termsPrice and main terms are agreed and written into heads of terms, a short document the solicitors work from1 to 3 weeks
Buyer's checks and legal workThe buyer checks the accounts, contracts and staff records, and the solicitors draft the sale agreement2 to 3 months
Client consents and staffLarge clients are asked to consent, staff are informed and consulted, and in an asset sale employee information goes to the buyer at least 28 days before transferRuns alongside the buyer's checks
Exchange and money in your accountContracts are signed and the money is paid, often on the same day1 to 2 weeks

What slows a cleaning business sale down

  • Accounts that are late, unclear or mixed with personal spending, so the buyer's accountant cannot agree the profit figure the price was based on.
  • One client providing more than about 15 to 20% of turnover, since the buyer will want that client's consent, or part of the price held back until the client is settled with the new owner.
  • Contracts that are missing, out of date or contain change-of-control clauses, which have to be found and dealt with before exchange, as we explain in our guide to moving cleaning contracts to a buyer.
  • Staff records with gaps in start dates, hours, holiday or right to work checks, because the buyer inherits the staff and in an asset sale the employee information deadline under TUPE is at least four weeks before transfer.
  • An owner who still runs the rota and covers sickness personally, so the buyer needs a longer handover before it is comfortable.
  • A buyer arranging a bank loan or other funding after the offer is agreed.

What speeds up the sale

The quickest sales are where the owner has up-to-date accounts and monthly figures ready, a contract schedule showing each client's value and notice period, a staff list that matches the payroll, and a supervisor or operations manager running the rota so the business does not depend on the owner day to day.

Choosing a solicitor who has handled business sales, agreeing early whether it will be a share sale or an asset sale, and checking that the buyer has its funding in place before heads of terms are signed all take weeks off the legal stage. Planning client consents with the buyer at the start of its checks, so the conversations happen alongside the legal work, avoids a wait at the end.

Why window rounds and domestic businesses sell faster

The buyer is usually buying a customer list and goodwill, often as an existing window cleaner or domestic cleaning owner adding work nearby, so there are few contracts to review, few or no employees, and the price is easier to agree against a clear record of customers, frequency and prices.

Buyers commonly expect 5 to 10% of customers to drop away after a round changes hands, according to Cleaning Matters, so the main thing that delays a round sale is agreeing how that risk is shared, for example by the seller introducing the buyer on the first cycle or part of the price being paid after the first few cycles. Window cleaning companies with vans, staff and commercial contracts take longer, and our guides to selling a window cleaning business and selling a domestic cleaning business go into more detail. Questions owners ask

How long does it take to sell a cleaning business?

A typical sale takes 6 to 9 months from first valuation to the money being in your account. Window rounds and small domestic cleaning businesses often take 2 to 4 months, while commercial contract cleaners take longer because of client consents and TUPE.

How long does it take to sell a window cleaning round?

Most window rounds sell in 2 to 4 months. The time goes mainly on finding the right buyer nearby and agreeing how customer drop-off after the sale is handled.

Can I sell my cleaning business quickly?

You can shorten the timetable by having accounts, a contract schedule and a staff list ready before listing, and by choosing a buyer whose funding is in place. A commercial sale still needs time for the buyer's checks and client consents, so a few months is the realistic minimum.

Do I keep running the business while it is for sale?

Yes, you run it as normal until the money is in your account, and keeping turnover and clients steady during the sale protects the price. Buyers watch the monthly figures throughout their checks.

When should I start preparing to sell?

Start six to twelve months before you want to list, so there is time to tidy the accounts, put contracts in writing and get a supervisor running the rota. Owners who prepare early usually sell faster and at a better price.
